2.1 The Services are operated by Teachers Media International Limited ("we", "us", "our", "ours"). We are a limited company registered in England and Wales under company number 07699868 and have our registered office at 47 Limerston Street, West Brompton, London, SW10 0BL.

3. General Use
3.2 You agree not to use the Services in any way that infringes the rights of others or may restrict or inhibit the use and enjoyment of the Services by others.
3.4 You agree not to give any indication that you have any commercial relationship with us.
4. Copyright & Intellectual Property
4.1 All copyright, trade marks and other intellectual property rights in the Services (including the design, arrangement, look and feel) and all material or content supplied as part of the Services shall remain at all times our property or that of our licensors.
4.2 You may use the Services for your own personal reference. In addition, you may use the resources on the Services (including the videos) for your own non-commercial educational purposes within your educational establishment and you may exhibit the videos to non-paying audiences within your educational establishment (for example, you may show videos in any lesson you are teaching or to colleagues at work). Where the functionality of the Services allows you to download material then, subject to any Special Conditions that may apply to that material, you may keep a personal permanent copy of the downloaded material and/or you may store a copy of the downloaded material in any storage system within your educational establishment provided that its use is restricted to non-commercial educational purposes within your educational establishment.
4.4 Some of our Services may be geo-blocked. You agree not to attempt to circumvent any geo-blocking software on the Services.
5. Your user submissions & community rules
5.1 Unless otherwise agreed you retain ownership in any contribution you make on the Services.
5.2 By submitting a contribution to the Services (including, without limitation, any text, photographs, graphics, video or audio) you grant to us a perpetual, royalty-free, non-exclusive, transferable right and licence to use, reproduce, modify, adapt, publish, translate, distribute, create derivative works from, play, make available to the public and exercise all copyright or similar rights (including publicity rights) in your contribution worldwide and/or to incorporate your contribution in other work in any media now known or developed in the future for the full term of any rights that may exist in your contribution. IF YOU DO NOT WISH TO GRANT THESE RIGHTS TO US PLEASE DO NOT SUBMIT YOUR CONTRIBUTION TO THE SERVICES.
5.3 You agree that any contribution to the Services by you will not:
(i) be likely to provoke, attack or offend others;
(ii) be racist or liable to incite racial or religious hatred, sexist, homophobic, abusive, threatening, menacing or otherwise objectionable;
(iii) contain swear words or other language likely to offend;
(iv) plagiarise or infringe any third party rights of any kind including, without limitation, copyright, trademark, trade secrets, privacy, publicity, personal or proprietary rights;
(v) be defamatory, obscene, indecent, pornographic, sexually explicit, seditious, or blasphemous;
(vi) break or infringe any law or condone or encourage illegal or unlawful activity;
(vii) be in contempt of court;
(viii) advertise products or services;
(ix) impersonate, or be seen to impersonate, someone else;
(x) identify, or refer to the identity of, minors;
(xi) include contact details such as phone numbers, postcodes, postal or email addresses;
(xii) be in anything other than English; or
(xiv) be "spam" (i.e. posts containing the same, or similar, message posted multiple times)
5.4 You warrant and guarantee to us that:
(i) any contribution you make to the Services is your own original work or you have obtained all the necessary licenses, rights, consents and permissions to allows us to use your contribution in full accordance with clause 5.2;
(ii) you have obtained the permission of all people who feature in your contribution for us to use your contribution;
(iii) if there are any persons under the age of 18 in your contribution, that you have also obtained the permission from their parents or guardians for us to use your contribution;
(iv) your contribution is not defamatory, obscene, indecent, pornographic, seditious, offensive, threatening, liable to incite racial or religious hatred, menacing or blasphemous; and
(v) your contribution does not infringe any law or any third party rights of any kind and is not in contempt of court
5.5 You hereby indemnify us against all actions, losses, damages, legal fees, costs, liabilities and other expenses that may be incurred by us as a result of any breach by you or caused by you of any of the warranties in clause 5.4
5.6 You waive any moral rights or rights of a similar nature in any part of the world in any contribution you make to the Services.
5.7 User contributions may only be made by registered users of the Services.
5.8 We may accept your contribution, modify your contribution, refuse to display your contribution or take down your contribution from the Services at any time at our sole and absolute discretion without notice to you for any reason.
5.9 You are responsible for the content of any submission you make and the consequences arising from its use on the Services.
5.10 You agree not to upload any files which contain any viruses or harmful programs which may in any way affect the operation of the Services or our systems.
6. Third Party Sites/ Links
6.1 We are not responsible for any third party services or material that you access through the Services. If you decide to visit any linked site you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements.
6.2 We do not endorse, and are not responsible or liable for, any content, advertising, products, services or information on or available from third party services or material (including payment for and delivery of such products or services).
6.3 We are not responsible for any damage, loss or offence caused by, or in connection with, any content, advertising, products, services or information available on such services or material. Any terms, conditions, warranties or representations associated with such dealings, are solely between you and the relevant provider of the service or material.
6.4 Links do not imply that we endorse, or are affiliated or associated with, any linked site, or are legally authorised to use any trade mark, trade name, logo or copyright symbol displayed in, or accessible through, the links or that any linked site is authorised to use any trade mark, trade name, logo or copyright symbol or material of ours.
6.5 You agree not to involve us in any dispute you may have with any third party services without limitation.
7. Disclaimer of Liability
7.2 We will try to ensure that all information provided by us in connection with the Services is accurate at the time of inclusion. However, there may be errors, omissions or inaccuracies in respect of which we exclude all liability. We make no representation or warranty about the information included in the Services. You shall be solely responsible for any decisions based on the information contained in the Services.
7.3 We will try to ensure that the Services are maintained in a fully operating condition. We are not responsible for the results of any defects that exist in the Services. You should not assume that the Services are error free or that they will be suitable for the particular purposes that you have in mind when using them. We reserve the right to make changes to the Services and Services may be supplemented, modified or withdrawn.

8. Registration and Security
8.1 To access or use certain areas within the Services you may be asked to register and provide details in order to obtain a user account or password. You agree to provide true, accurate, current and complete information about yourself as prompted by any registration form on the Services and you authorise us to process such data.
8.2 You may change or update your user name, password or other details via your account. You agree to maintain and promptly update all information and details provided by you at all times.
8.3 If you choose, or are issued with, a user identification code, password or any piece of information as part of any registration or security procedures, you must treat such information as confidential and are fully responsible for all activities that occur under your password and account.
8.4 You agree to notify us of any unauthorised use or breach of security.
8.5 We cannot be held liable for any loss or damage arising from your failure to comply with this clause 8.
8.6 If you provide any information that is untrue, inaccurate, incomplete or not current, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any part thereof).
8.7 You will not use multiple logins.
9.3 The failure or decision by us not to exercise or enforce any right or remedy that we may have against you at a particular time does not constitute a waiver of that right or remedy and does not prevent us from enforcing that right or remedy at a later date.
